These Terms of Service ("Terms") govern your use of the Sqicks website at sqicks.com (the "Website") and the Shopify development services provided by Sqicks ("we", "us", "our"). By accessing our Website or engaging our services, you agree to be bound by these Terms.
1. About Sqicks
Sqicks is a Shopify store development company based in Ahmedabad, Gujarat, India. We design, build, migrate, and optimize Shopify and Shopify Plus stores for ecommerce brands selling across the US, UK, Australia, Canada, Ireland, Germany, Norway, Poland, Netherlands, Switzerland, India, the UAE, and Saudi Arabia.

2. Description of Services
Sqicks provides the following categories of Services, as agreed in individual client proposals/contracts/scopes of work:
- Custom Shopify Design (conversion-focused, mobile-first storefronts)
- Theme & App Development (hand-coded Shopify themes/custom apps using Liquid, React, Shopify API)
- Store Migration (from WooCommerce, Magento, BigCommerce, or custom platforms to Shopify without losing SEO/data/revenue)
- Speed & CRO Optimization (technical audits/performance tuning)
- Shopify SEO (on-page SEO, structured data, technical fixes)
- Shopify Plus & Scale (enterprise builds, custom checkout extensions, multi-store architecture)
Specific scope, deliverables, timelines and fees are defined in a separate written agreement/proposal/SOW; in case of conflict, that agreement takes precedence over these Terms.
3. Client Obligations
To enable Sqicks to deliver the Services effectively, clients agree to:
- Provide timely access to necessary accounts (e.g. Shopify admin, domain/DNS, hosting), brand assets, login credentials, and information as reasonably requested
- Designate a primary point of contact with authority to approve/give feedback within agreed timelines
- Provide accurate/complete information about their store, target markets, product catalog, and applicable regulatory/compliance requirements
- Review and approve designs, builds, and content in a timely manner (late approvals may affect delivery timelines)
- Ensure all information/assets/materials provided do not infringe third-party IP rights and comply with applicable laws
- Comply with all applicable platform policies (Shopify, payment gateways, app marketplaces, etc.)
- Make payments per the agreed schedule
4. Results Disclaimer
Important — Please Read Carefully. Development and performance results are inherently variable and depend on many factors outside our control. Past results for other clients (e.g. conversion lift, load-time improvements, Lighthouse scores) are not a guarantee of future results for your store. While Sqicks applies best-in-class engineering and design practices and maintains a strong track record, we cannot and do not guarantee specific outcomes such as conversion rate, revenue, traffic volume, or search rankings. 5. Intellectual Property
5.1 Client-Owned Materials
All brand assets, logos, imagery, videos, and proprietary information provided by the client remain the client's exclusive property; the client grants Sqicks a limited, non-exclusive licence to use these materials solely to deliver the Services.
5.2 Deliverables
Upon full payment, Sqicks assigns to the client the IP rights in the specific deliverables created for that client (e.g. custom theme code, design files, copy), except where deliverables incorporate Sqicks's proprietary methodologies, frameworks, templates, or pre-existing tools, which remain Sqicks's property.
5.3 Sqicks Materials
The Sqicks Website, brand, methodologies, processes, templates, training materials, and all published content remain Sqicks's exclusive IP; you may not reproduce, distribute, or exploit these without prior written permission.
5.4 Portfolio Rights
Unless otherwise agreed in writing, Sqicks may display completed client work as portfolio examples in our marketing materials, website, and social media, subject to confidentiality obligations.
6. Payment Terms
All fees are quoted in Indian Rupees (INR) unless otherwise specified; international clients may be invoiced in USD, GBP, AED, or AUD by mutual agreement. Retainer fees are payable in advance at the start of each billing cycle (typically monthly) unless otherwise agreed. Project-based work may require a deposit (typically 50%) before work commences, with the balance due on completion or agreed milestones. Third-party costs such as Shopify subscription fees, paid apps, and premium themes are separate from Sqicks's service fees and must be paid by the client directly, unless specifically agreed otherwise. Invoices are due within 7 days of issuance unless otherwise stated. Late payments may incur interest at 2% per month on the outstanding balance, and Sqicks reserves the right to pause Services until payment is received. All fees are exclusive of applicable taxes (including GST where applicable); the client is responsible for withholding tax obligations in their jurisdiction.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement (business strategies, financial data, customer data, proprietary methodologies); this survives termination. Confidential Information excludes information that is publicly available, independently developed, or required to be disclosed by law.
8. Termination
8.1 By Client
Clients may terminate an ongoing retainer with 30 days' written notice; fees for the notice period are payable in full; project engagements may have specific termination terms in the project agreement.
8.2 By Sqicks
Sqicks may terminate immediately if (a) the client fails to pay within 14 days of the due date; (b) the client requests activity violating law, platform policy, or professional ethics; (c) the client engages in abusive/threatening/harassing behaviour toward Sqicks personnel.
8.3 Effect of Termination
Sqicks will provide all completed deliverables and return client-owned assets; outstanding fees for completed work remain payable.
9. Third-Party Platform Disclaimer
Important: Sqicks is an independent development team. We are not affiliated with, endorsed by, or officially connected with Shopify Inc., or any payment gateway, app developer, or theme marketplace referenced on this Website. All platform names/logos are trademarks of their respective owners. Sqicks builds/manages stores on behalf of clients via the Shopify platform. By engaging our Services, the client acknowledges that:
- Platform features/policies/pricing may change anytime without notice
- Store/account access is governed by Shopify's own terms, for which Sqicks is not liable
- Shopify subscription fees, transaction fees, and app costs are billed directly by the platform/providers, separate from Sqicks's fees

10. Limitation of Liability
To the fullest extent permitted by law:
- Sqicks's total liability to any client shall not exceed the total fees paid by the client in the three (3) months preceding the claim
- Sqicks shall not be liable for indirect, incidental, consequential, special, or punitive damages including loss of revenue, profits, data, or business opportunity
- Sqicks shall not be liable for failure to perform due to circumstances beyond its reasonable control, including platform outages, algorithm/feature changes, force majeure events, or client delays
11. Use of the Sqicks Website
By accessing sqicks.com you agree to:
- Use the Website only for lawful purposes and in a manner that does not infringe others' rights
- Not attempt unauthorised access to the Website or its systems
- Not reproduce/copy/distribute Website content without prior written permission
- Not use automated tools (scrapers, bots) to access or extract data
The Website is provided "as is"; we do not warrant it will always be available, error-free, or virus-free.
12. Indemnification
The client agrees to indemnify and hold Sqicks, its officers, employees, and contractors harmless from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) the client's breach of these Terms; (b) content/assets/information the client provides that infringes any third-party right or violates applicable law; or (c) the client's non-compliance with platform policies or applicable regulations governing their business.
13. Force Majeure
Neither party is liable for failure or delay in performing obligations due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, civil unrest, government action, internet/telecommunications failures, or widespread outages of third-party platforms (Shopify, hosting providers, or other third-party platforms). The affected party will notify the other as soon as reasonably possible and resume performance once resolved.
14. Severability
If any provision is found invalid, illegal, or unenforceable by a court of competent jurisdiction, it shall be modified to the minimum extent necessary to be valid and enforceable, or severed if it cannot be modified; the remaining provisions continue in full force.
15. Entire Agreement
These Terms, together with any signed proposal/SOW/client agreement and our Privacy Policy and Disclaimer, constitute the entire agreement between the client and Sqicks, superseding prior discussions/representations/agreements, except where a signed client agreement expressly states otherwise.
16. Assignment
The client may not assign, transfer, or subcontract rights/obligations under these Terms without Sqicks's prior written consent. Sqicks may assign these Terms in connection with a merger, acquisition, reorganisation, or asset sale, provided the assignee agrees to honour these obligations.
17. Governing Law & Dispute Resolution
These Terms and any disputes arising from them are governed by the laws of India. The courts of Ahmedabad, Gujarat, India have exclusive jurisdiction to resolve disputes under these Terms. Both parties agree to attempt good-faith negotiation before formal legal proceedings.
Note for international clients: while Indian law governs these Terms, Sqicks complies with applicable data protection laws in your jurisdiction (GDPR for EU/UK, DPDP for India, etc.) per our Privacy Policy; these Terms do not limit any mandatory rights you may have under your own jurisdiction's laws.
18. Changes to These Terms
We may update these Terms from time to time; we will notify active clients of material changes via email; updated Terms are published on this page with a revised "Last updated" date; continued use after changes are posted constitutes acceptance.
